1. INTRODUCTION

Welcome to the Northwest Screenwriters Guild website (the "Website"). These Terms and Conditions ("Terms") govern your access to and use of the Website, including any content, functionality, and services offered on or through the Website, whether as a guest or a registered member.

Please read these Terms carefully before using the Website. By using the Website, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website.

2. DEFINITIONS

"Content" means any works, materials, information, data, text, photographs, videos, audio clips, scripts, treatments, synopses, outlines, written works, or other materials that users submit, post, display, or share on or through the Website.

"Member" means an individual who has registered for an account on the Website.

"Services" means all services provided through the Website, including community forums, script feedback, contests, educational resources, industry news, and networking opportunities.

"We," "Us," or "Our" refers to the Northwest Screenwriters Guild, its administrators, directors, officers, employees, and affiliates.

"You" or "Your" refers to the user of the Website, whether as a guest or registered Member.

3. ELIGIBILITY AND REGISTRATION

3.1 To become a Member, you must be at least 18 years of age and capable of forming a legally binding contract.

3.2 You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3 You are responsible for safeguarding your password and for all activities that occur under your account.

3.4 You agree not to create more than one account, create an account for someone other than yourself, or create an account if you have been previously banned from the Website.

4. MEMBERSHIP TIERS AND FEES

4.1 Current membership fees and benefits are available on the Website.

4.2 Membership fees are non-refundable except as expressly provided in these Terms or as required by applicable law.

4.3 You are responsible for all charges incurred under your account, including applicable taxes.

4.4 We reserve the right to modify membership tiers and fees at any time, with notice to Members. Any changes to membership fees will be effective upon renewal of your membership term.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Your Content

5.1.1 You retain all ownership rights to your Content. By submitting Content to the Website, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, translate, distribute, and display such Content only in connection with providing the Services and promoting the Website.

5.1.2 You represent and warrant that you own or have the necessary rights to your Content and that your Content does not violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights.

5.2 Website Content

5.2.1 The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Northwest Screenwriters Guild, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2.2 You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as incidental to normal Website usage or as expressly permitted in writing by us.

6. SCREENPLAY PROTECTIONS AND CONFIDENTIALITY

6.1 While we implement reasonable measures to protect your Content, we cannot guarantee absolute confidentiality or protection. Members are strongly encouraged to register their works with the appropriate copyright office, Writers Guild, or other professional registration service before sharing on the Website.

6.2 Members agree to respect the confidentiality of other Members' Content and not to copy, distribute, or use such Content without the express permission of the owner.

6.3 When providing feedback on other Members' Content, you agree that such feedback does not create any ownership interest or right in the Content you review.

7. COMMUNITY STANDARDS AND CONDUCT

7.1 You agree not to use the Website:

7.1.1 In any way that violates any applicable federal, state, local, or international law or regulation.

7.1.2 To transmit or procure the sending of any advertising or promotional material without our prior written consent.

7.1.3 To impersonate or attempt to impersonate the Northwest Screenwriters Guild, a Guild employee, another Member, or any other person or entity.

7.1.4 To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website.

7.2 Additionally, you agree not to:

7.2.1 Use the Website in any manner that could disable, overburden, damage, or impair the site.

7.2.2 Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose.

7.2.3 Use any device, software, or routine that interferes with the proper working of the Website.

7.2.4 Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

7.2.5 Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website.

7.2.6 Harass, bully, intimidate, or harm any other user.

7.2.7 Post Content that is defamatory, obscene, pornographic, vulgar, offensive, threatening, or discriminatory.

8. MONITORING AND ENFORCEMENT

8.1 We have the right to:

8.1.1 Remove or refuse to post any Content for any or no reason.

8.1.2 Take any action with respect to any Content that we deem necessary or appropriate.

8.1.3 Terminate or suspend your access to all or part of the Website for any or no reason.

8.2 Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any Content on or through the Website.

8.3 We do not undertake to review all Content before it is posted on the Website and cannot ensure prompt removal of objectionable Content after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or Content provided by any user or third party.

9. FEEDBACK GUIDELINES

9.1 When providing feedback on other Members' Content, you agree to:

9.1.1 Offer constructive criticism focused on the work, not the writer.

9.1.2 Be respectful, professional, and mindful of the effort that went into creating the work.

9.1.3 Provide specific examples and suggestions where possible.

9.2 We reserve the right to remove feedback that violates these guidelines or our community standards.

10. COPYRIGHT INFRINGEMENT

10.1 If you believe that any Content violates your copyright, please send us a notice of copyright infringement. We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

11. DISCLAIMER OF WARRANTIES

11.1 THE WEBSITE AND ALL CONTENT AND SERVICES AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.2 NEITHER THE NORTHWEST SCREENWRITERS GUILD NOR ANY PERSON ASSOCIATED WITH THE NORTHWEST SCREENWRITERS GUILD MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE.

11.3 THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. LIMITATION ON LIABILITY

12.1 IN NO EVENT WILL THE NORTHWEST SCREENWRITERS GUILD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12.2 THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. INDEMNIFICATION

13.1 You agree to defend, indemnify, and hold harmless the Northwest Screenwriters Guild, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website.

14. TERMINATION

14.1 We may terminate or suspend your account and bar access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

14.2 Upon termination, your right to use the Website will immediately cease. If you wish to terminate your account, you may simply discontinue using the Website or contact us to request account deletion.

14.3 All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. GOVERNING LAW AND JURISDICTION

15.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the state of Washington, without giving effect to any choice or conflict of law provision or rule.

15.2 Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

16. ARBITRATION

16.1 At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Washington law.

17. WAIVER AND SEVERABILITY

17.1 No waiver by the Northwest Screenwriters Guild of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Northwest Screenwriters Guild to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17.2 If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

18. CHANGES TO THE TERMS AND CONDITIONS

18.1 We may revise these Terms at any time by updating this page. It is your responsibility to check these Terms periodically for changes. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes.

19. ENTIRE AGREEMENT

19.1 These Terms and our Privacy Policy constitute the sole and entire agreement between you and the Northwest Screenwriters Guild regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
